  1. BACKGROUND TO THE STUDY

Individuals go into business for the sake of obtaining regular income, becoming self employed and also help others. Although there are different kinds of business enterprises that female and male can go into, often times, some businesses are regarded as more suitable for one sex and not the other. This means that there are some gender considerations in the choice of business one goes into and, by extension, in entrepreneurship development.

Apparently, gender attitudes and behaviours may have positive or negative effect on entrepreneurship development in a society or economy.

This research work therefore intends to take a critical look at gender considerations as they affect entrepreneurship development with particular reference to Northern Nigeria in general, using Oju Printing Press Limited Kaduna, Kaduna South Local Government area as a case study, and also to suggest the possible solutions to identified problems and give recommendations where necessary.

ABSTRACT

Merger and acquisition has been widely acclaimed by scholars and professionals in business as the most desirable and effective strategy to revive the difficult situations facing Nigeria economic climate. The situation is so terrible that organizations had to turn around and adopt strategy to survive through this turbulent water. This research work has the objective undertaking to examines, analyze and evaluate the effectiveness of merger and acquisitions as a strategy for organizational survival in Nigeria and investigates whether it can result to economic of scale and increase profitability of the combined firms.

 

To this end, questionnaire were administrated to Oando Nigeria Plc and some few other organizations that merged. The data and information collected were analyzed using simple tables, frequencies and percentages. The findings of this research reveals that merger and acquisitions brings about improve in the productivity of the emerged organizations. The researcher is of the opinion that, based on the findings, the recommendations made if properly followed, it will improve the activities of merger and acquisition for the benefit of the government, proposing organizations and the interested public at large.

CHAPTER ONE

INTRODUCTION

1.0     BACKGROUND OF THE STUDY

The increase in oil boom in the 70’s was an era of huge and expensive prospect of doubtful utility and viability. However, the heavy dependence on oil and imported input rendered the Nigerian economy to be sensitive to external shocks with the collapse of the world oil market in the mids 1981, an economic crisis emerged in Nigeria, various control measures were put in place in order to correct the disturbing situation between 1982 – 1985 but these measures failed to deal effectively with the fundamental economic and financial problems confronting the economy which was deteriorating.

 

The nation began to face a situation of persistence and deteriorating balance of payment problem, the external debt continually rise, the emotion of international credit worthiness and the acute shortage of raw materials and consumer goods, as agriculture suffered and severely, neglected, the country (Nigeria) was at the point of collapsing.

 

Considering the above circumstances, there is need for national economic reform which the federal government eventually came up with Structural Adjustment Programme (SAP) in 1988 as a strategy to end the deformation of the nation economy and achieve a turn around in the fortunes.

 

The current global economic depression facing the world has been described by the world economic and financial experts as the longest and deepest depression in the post war period. Major industrial developed countries share in this performance characterized by declining growth rate, high inflationary pressure, increase in number of unemployment and this trend had serious adverse effect on the economic of developing countries of which Nigeria is included.

 

The present development is quite affecting a substantial number of Nigeria contemporary business most of them are on the path of decline, leading to folding up of some companies and many others laying off their staff and equipment as a result of operational hardship with lack of ability to expand and decline in sales volume as well as profit.

With the present difficult situation in the Nigeria businss environment. There is need for businesses to be re-structured for survival in response to changes that is occurring in the economic environment either a company decide whether to acquire, merge or sell part or whole of its existing business thus, given birth to a stronger, bigger and more profitable outfit that is capable of surviving amidst strong competition.

 

1.1     HISTORICAL BACKGROUND OF OANDO NIGERIA PLC

Oando Plc commence its business operation as a petroleum marketing company in Nigeria in 1956 under the name “ESSO West Africa Incorporated” a subsidiary of Export Corporation of the USA. In 1969, the company was incorporated under Nigeria laws as “ESSO standard Nigeria Limited. In 1976, the Nigeria Government brought ESSO interest and thus, became the 100% owner of the company. The company was then rename “Unipetrol Nigeria Limited”.

 

On 1st March, 1991 the company became a public limited company and was known as Unipetrol Nigeria Plc in the same year, 60% of the company’s shares was sold to the Nigeria public under the first phase the then privatization exercise and the company was quoted on the Nigeria stock exchange in February 1992.

 

In 2000, under the 2nd phase of the Federal Government of Nigeria’s privatization programme, ocean and soil services limited became a core investor by acquiring 305 of the Federal Government’s 40% equity stock in the company, the remaining 10% was sold to the Nigeria public. The investment in the then Unipetrol Nigeria Plc by Ocean Oil Services Limited was with support of its International Technical Partners Compania Espanola De Petroleos (CESPSA) who are currently 2nd largest oil group in Spain and ranks among the top 10 oil group in Europe. CEPSA is a fully Integrated Petroleum Company involved in exploration and production, petrochemicals natural gas, trading, refining, distributing and marketing.

 

In August 2002, the company acquired Agip Petrol’s 60% stake of Agip Nigeria Plc, the sale of the 60% interest of Agip Petrol International was the result of an international bid conducted by Agip petrol international B.V with the assistance of an international adviser during which Agip Petroleum International selected to them Unipetrol Nigeria Plc following the acquisition of Agip Nigeria Plc the company was again i.e. branded to Oando Plc in 2003 and emerged as Nigeria 2nd largest company in the downstream sector of the oil industry with 15.64% market share.

                                                      Abstract

The study was carried out to find out the impact of taxes on small and medium scale business enterprises in nigeria.the study aimed at assessing the performance of business enterprises in nigeria, finding out if tax payers are aware of all their tax obligations, policies and problems affecting them as well as their businesses. The study applied both qualitative and quantitative research designs where interviews and questionnaires were used. Data was collected from both primary and secondary sources.

Data was processed and analysed using formal tables, pie charts, narrative text, and correlation to find out the relationship between the impact of taxes and performance of small scale businesses. A total of 50 respondents were considered out of the entire population of small scale and medium enterprises.  The findings indicated that the performance of small scale business is affected by stock levels, capital employed, daily expenses, daily sales and the average amount of taxes paid annually.most business owners are aware of taxes paid, uncertain of the mode of assessment and little assistance is given as regards tax awareness.

The findings revealed the problems faced by the small and medium business men as regards mode of assessment, collection and tax collectors, inefficiency by tax collectors, loss of equipment, loss of sales and loss of stock as a result of taxes.recommendations on impact of taxes included; improvement on the method of collecting taxes, educating the business community about its different tax rates and  introducing a scheme that allows tax payers to pay the tax obligation.

taxation increases incentives for public participation in the political process and creates pressure for more accountability, better governance, and improved efficiency of government spending. Taxation also creates incentives for governments to upgrade their institutions for tax collection and administration and to provide more public services (Moore, 2007).

taxes have existed virtually as long as there have been organized governments. The first tax law legislation was introduced in 1919 and ever since then taxes have evolved through a number of reforms. The government in an attempt to widen the tax base and collect more revenue has had to levy several taxes especially on business enterprises in Nigeria which constitute a large part of the formal sector.

The taxes charged on business enterprises in Nigeria include; corporation tax, value added tax, presumption tax and exercise duty. In 1997 the income tax act was made. This was to give guidance in assessment and computation of taxes (campsy, 1997). The nigerian government has made some recommendable efforts to promote development through taxation since the inception of the current taxation laws for purposes of promoting development.

The main objective of taxation in nigeria has always been to mobilise resources needed to meet the aspiration of government. This is because for any government to be effective, strong, competent and capable of spearheading development, resources have to be readily available in its treasury so as to be in position to provide goods and services to the people adequately. The nigerian government has always had to ensure proper resource mobilization (musa, 1992).

according to manasseh (2000), a tax is generally referred to as a compulsory levy imposed by government upon various categories of assets and taxation is a compulsory and non refundable contribution imposed by government for public purposes. In nigeria a considerable fraction of the businesses are sole traders operating small scale business, locally owned and managed by individuals or families and often with very few employees working at a single location (nigeria development bank report, 1988).

Taxation in nigeria is based on system that existed in britain as it was a british colony. This also applied to other colonies elsewhere and for east africa, one tax system operated under british administration. This process began in 1900 with the hut tax regulation which imposed a standard charge for every hut/dwelling.

During that period, taxation was aimed at raising revenue for the administrative structure imposed by the colonial government but also as a means of encouraging monetary/economic activities. It was the local authority ordinance of 1991 that governed the collection of taxes. In september 1991, after a period of review the rural revenue authority (ura) was established. All taxes including income tax came under the umbrella of the ura. From 1992, ura has been organizing and strengthening the administrative procedures and in 1993 this process assisted by a grant from the british government of approximately us$ 10million.

At least 50 small scale business enterprises were selected in illorin, almost all of them employ 2-4 people. These small scale businesses are locally owned and managed by private individuals who sometimes employ their family members. These small and medium scale businesses bear a wide tax burden which has led to poor performance. Therefore, it was against this background that the researcher undertook the study to investigate more about the problem using nigeria as a case study to evaluate the impact of taxes on small and medium scale business enterprises.

1.2 statement of the problem

Taxes are raised by the government to generate revenue used to provide services to the public such as; health centers, telecommunication, roads, schools and electricity and this have helped to improve the performance of small and medium scale business enterprises. Despite the services provided, small and medium scale business enterprises performance in nigeria is still poor. This could be due to the increasing tax burden brought about by tax rates which are revised annually. These rates seem to be taking an upward trend (gordon and dawson, 1987) which has led to winding up of some small scale business enterprises. This prompted the researcher to investigate more about the impact of taxes on small scale business enterprises.

1.3 purpose of the study/objective of the study

The purpose of the study was to evaluate the impact of taxes on small scale business enterprises in nigeria. The specific objectives are:

  1. To assess the impact of taxation on small and medium scale business enterprises in nigeria.
  2. To find out if tax payers are aware of all their tax obligations and policies.
  3. To find out problems affecting tax payers and their business.

The study was carried out in ilorin kwara state, nigeria. The area was purposely selected because the researcher worked within the vicinity and therefore this eased data collection.

The study considered a period of four to six months. This period was selected to enable the researcher come up with coherent information from the respondents as it would enable them (respondents) to give responses that are typical of their opinion from the observations made over this period.

The findings of the study are significant on the following ways;

  1. To scholars and researchers, the findings of the study are expected to contribute to the existing literature about taxation and the effect it causes to the economy as a whole.
  2. To the tax authority and government, the study will guide them in adjusting tax policies so that they suit requirements of small and medium scale businesses.
  3. To future academicians especially of nigeria university students, the study will help in gaining insight about taxes and performance of small scale business enterprises.
  4. The accomplishment of the study will enable the researcher to acquire hands on skills about processing of research work and data analysis. This proficiency will enable the researcher to handle such related work with a lot of precision and proficiency.

ABSTRACT

 

In this research on Urbanization – A problem to Food Production and Agricultural development in Enugu State, effort were made to address issues that are related to the problems, cause, effects, challenges, practice and solutions to the future management as it Concerns man and his environment and his economic system, health security as well as food through agriculture and its related sectors.

However, urbanization has been the problem of the world today especially in Enugu State it has taken its stand through the regional development which was enhanced by Evolution of Industrial Technologies, coupled with migration population movement of the people, which contributed grossly to the problem facing food and Agriculture in the state.

These has been found as the major causes of food scarcity, disease, hunger and other related environmental hazards across the state.

Furthermore, there is need for an legend attention to be given as to arrest its havoc and by may doing.  Create a good system of equitable redistribution of technological method to agricultural sector, and provide funding to all the sectors.  And to check mate the raising harzard which Urbanization Constitutes in our environment today.

 

 

 

CHAPTER ONE

 

INTRODUCTION

  • BACKGROUND OF STUDY:

In this study, we are focusing on two major issues, which are closely related to one aspect of development that has posed a great threat to the other and can easily engulf it.  If adequate attention is not given to arrest and manage each problem as it concerns the other.

In this topic, the problem here rests on urbanization-a PROBLEM TO FOOD PRODUCTION AND AGRICULTURAL DEVELOPMENT IN ENUGU STATE.

 

In definition, the word Urbanization are derived from the former word urban, which were mainly known as a place where different people with different interest from other parts of the services in Country or state exchange goods and services in Common, with higher concentration of people dwelling in such place for their enormous activities.

 

The latter Urbanization is based on the larger development of certain environment in our society, for example, State, Local Towns and Villages by higher Concentration of people and infrastructures, such as high network roads, school, markets Churches, hospitals offices, Industries, railways and airports factories communication outfits, as well as dwelling places, which were enhanced by evolution of industrial technologies.

 

While the other food production and Agricultural Development were based on natural resources. Surrounding Our environment, for example, rich fertile Soil, Plants crops, animals of all kind and other minerals that system the people in their given environment.

However it has been a problem based on inability to produce enough food materials and to the sustainability of its growth and development in our Society as enough consideration has not been given to our natural and physical resources another agricultural sector.

Today, due to high rate of Urbanization in Enugu State and its environs, most natural and physical elements that promote good health and agricultural – occupational development of the economic well being of the people are easily neglected to Urbanization and its socio-politics-economic pursuits.

In recent past as the activities of trade merchants increased in certain towns, such places were placed to be the seat of authority, so as to maintain law and order and to regulate rules, which will guide the people, especially for collection of taxes in such areas.

Basically, the advent of technology which come to stay completed more people to focus on new ideas of sustaining a living, and people also began to develop by increasing mental knowledge, thereby Greating more easy going jobs.

In any way, this did not go down well especially in Enugu State, because of lack of equal redistribution of technological ideas to different sectors, of the people.

Even through among the institutions of higher learning, in the state, eg. Institute of management and technology (I.M.T) Enugu, University of Science and Technology (ESUT) Enugu, University of Nigeria Nuskka etc.

In these mentioned institutions there are faculties of Agricultural Science and Engineering, where brilliant students of this state are produced every year for agricultural practices, these brilliant students have been neglected and due to lack of motivation and support, some have gone beyond teaching and joined the train of get-rich-quick syndrome, as a result of failure to redistribute equally the dividends of technology to agriculture for growth and production development.

In fact, more reasons than earlier said brought in this problem on food production and agricultural backwardness in the state, to mention but a few, lack of manpower  resources, poor plaint and none recognition of the importance of agriculture by the authority in power.

Even the existing places for food and agricultural produce were exposed to environment disasters and insecurity to timber merchants,  through bush burring and deforestation and uncontrolled  erosion took another stage .Rating does into so man heaters of farm lands. Although in Recent past ,there had been a programmes unrich in every state of the awareness on agriculture of all sector.

For instance, the operation  Feed Nation were introduced and luched on every state of the Federation on September 1979, by the then Head of States  Gen. Olusegen Obasenjo.

The queen revolution also were introduced followed by Operation feed yourselves.  However the activities of this  said programes did not in any way created any impact on food production and Agricultural development in the state because it either ended up on radio broadcast, news papers head lines reports and television broadcast  news, why because it did not touch ground.

Infact, it lacked mobilization, motivation, and direction of any aspect.  There were no infrastructure mapped out in place to mutate these ideas being carried out to reach the  people in their different local  localities.

Most of the existing farms were only regional farms under Enugu State Agricultural development projects.  Created then by Federal government during the last boad on agriculture sector of economy in early 70’s.

These farms were located at Uzouwani Adani (Farm settlement site) Amagunze in Nkanu and Nenwe farm site, respectively.

These farms were located to take care of food production in the eastern part of the country were not adequately equipped to meet the rising demand and supply of food and some agricultural produce.

Migration and political instability has turned these farms into individual efforts on production and subsistence farming took the role moreover, owing to urbanization and civilization migration of young ones to major cities brought a change into the number one economic foundation of the state and the nation as well.  Going through the state of 14 local government Areas with a teaming population of 2, 124, 974 as at 1991, with a projection number of 2,381, 113 persons as at 2004 population census, a total number in different occupation shows a collective number of 70,567,097 in 5 identified occupations, (U) professional technical and related workers, Administrative and managerial workers.  Clerical and related worker, sales workers transport equipment’s operators and labourers, as well as agricultural, animal husbandry, forestry workers, fishermen, and hunters and other Occupations that cannot be adequately defined Investigation through research shows a  very low rate of peoples participation in Agriculture and its related sectors.

An admiring law rate of about 8, 821,87 number of participants given to Enugu state Agricultural and other related workers.  This state of down wardness is a problem and challenges today given to the rising rate of food scarcity, which brought in hunger, disease, hunger malnutrition, death among the learning population of the citizens of Enugu State organ and their quest dwellers.

The State food Supply have decreased to a point where for and other Agricultural produce commodities are being supplied by other states like, Ebonyi state and parts of Northern, states local markets, in different towns and Communities little r nothing to deliver to the state urban markets due to the diminishing factors of production like, initial capital support of man power, equipment’s, as they still practice traditional method of farming, all this accounts, to   urbanization, which geared every young and old, their educated  and the uneducated either migrate to the bigger cities in pursuit of these activities that was brought in by urbanization and its socio-politico-economic drive,

ABSTRACT

This study examined the corporate governance and its impact on the management of Forte Oil Nigeria Plc Kaduna. Research questions guided the study. A survey method was used for this study.

The population consisted of all the management staff of Forte Oil Nigeria Plc Kaduna with a total population of twenty five (25) persons. The entire 25 person were selected for the study. A questionnaire developed by the researcher based on liker 5 point scale was used for the study. Mean scores and frequencies were used to analyze the data based on the research questions.

Research results shows that internal and external mechanism of corporate governance are used to regulate the performance of Forte Oil Nigeria Plc. The control mechanism put in place by Forte Oil Nigeria Plc include internal and external auditing as well as board of director monitoring and balance of power. The systemic problems militating against corporate governance include high cost of monitoring, inadequate supply of accounting information to shareholders.

INTRODUCTION

  • Background of the Study

Corporate Governance is a number of process, customers, policies, laws and institutions which impacts on the way a company is controlled. An important theme of corporate governance is the nature and extent of accountability of people in the business and mechanisms that try to decrease the principal agent problem (Wikipedia, 2011).

Corporate Governance also includes the relationships among the many stakeholders involved and the goals for which the corporation is governed. In contemporary business corporations, the main external stakeholder groups are shareholders, debt holders, trade creditors, suppliers, customer and communities affected by the corporation’s activities. Informal stakeholders are the board of directors, executives and other employees. It guarantees that an enterprise is directed and controlled in a responsible, professional, and transparent manner with the purpose of safeguarding its long-tem success it is intended to increase the confidence of shareholders and capital market investors.

The World Bank (2009) states that corporate governance comprises two mechanisms, internal and external corporate governance. Internal corporate governance, giving priority to shareholder’s interest, operated on the board of directors to monitor top management. On the other hand, external corporate governance monitors and controls manager’s behaviors by means of external regulations and force, in which many parties, such as suppliers, debtors (stakeholders), accountants, lawyers, and providers of credit and investment bank.

In the past, so many corporate organizations have been caught of getting involved in unethical practices, for example the discovery of financial scam by the Central Bank of Nigeria after the consolidation exercise, involving seven top bank executives in Nigeria, which puts the credibility of their corporate image under suspicion, which further shocking investors confidence. Consequently, corporate governance mechanism has been a crucial issue discussed again.

It is against this background that the researcher see the subject matter; corporate governance and its impact on the management of Forte Oil Nigeria Plc, Kaduna as an issue worthy of being investigated.
